Compensation 

The salary for this role is $350,000 - $450,000 plus bonus. This is the range that we in good faith anticipate relying on when setting wages for this position. We may ultimately pay more or less than the posted range and this range is only applicable for jobs to be performed in New York.  This salary range may also be modified in the future.  

 

About the Role

We are seeking an experienced and highly motivated self‑starter to join LS Power’s private equity team as a VP and Senior Tax Counsel, providing tax structuring advice and managing the tax aspects of mergers and acquisitions and financings and advising on various strategic matters impacting the business. This role offers significant exposure to complex, high‑impact transactions and the opportunity to work closely with senior leadership. You will have a meaningful role and strong opportunities for professional development, supported by collaborative and high performing peers.

Responsibilities

What you will do

  • Provide tax structuring advice on mergers and acquisitions and other strategic transactions at all stages, including providing advice on bids, performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration, including documentation relating to management teams.
  • Assist in preparation of tax components M&A related investment committee meeting materials.
  • Advise on tax aspects of financing activities relating to M&A transactions and refinancing of existing debt of portfolio companies.
  • Collaborate and build strong relationships with cross-functional teams, including finance, regulatory, accounting, asset and energy management and investor relations.
  • Advise on renewable transactions, including structure and qualification for federal income tax credits.
  • Have in depth understanding of partnership and corporate federal tax structuring and operations.

Qualifications

What you will need

  • J.D., with 15+ years of experience leading tax matters for complex M&A, financing, and other corporate transactions.
  • Experience in structuring tax equity and other renewable focused transactions.
  • Ability to be the primary in-house federal income tax attorney on M&A and other corporate transactions, including handling multiple transactions or projects simultaneously.
  • Ability to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently while balancing legal risks against business interests.
  • Excellent communication, project management, negotiation and drafting skills.
  • Ability to oversee state and local taxes.
  • Renewable energy tax structuring experience, with a strong understanding of partnership and corporate tax modeling.
